VENDOR AGREEMENT

MadeInTurkey.Com Multi-Vendor Marketplace
Operated by Dotcom Marketing LLC

1. PARTIES

This Vendor Agreement (“Agreement”) is entered into by and between:

  1. Dotcom Marketing LLC, the operator of the MadeInTurkey.Com Multi-Vendor Marketplace (“Operator”), and
  2. Vendor, an individual or business entity applying to sell products through the Platform.

Renewable Energy Solutions, Inc. is NOT a party to this Agreement. Renewable Energy Solutions, Inc. is mentioned solely to clarify that it owns the domain MadeInTurkey.Com but does not manage, operate, or participate in the Platform in any capacity.

2. RELATIONSHIP OF THE PARTIES

Vendor is an independent contractor, not an employee, agent, partner, or representative of the Operator.
Vendor is solely responsible for all business operations, taxes, compliance, product safety, and legal obligations.

3. COMMISSION STRUCTURE

3.1 Introductory Commission

For the first 30 days after Vendor approval: 3% commission on all sales.

3.2 Standard Commission

After 30 days: 7% commission applies to all sales.

3.3 Commission Changes

Operator may change commission rates at any time with 3-day written notice.
Continued use of the Platform constitutes acceptance.

4. TERM & TERMINATION

4.1 Month-to-Month Agreement

This Agreement is month-to-month and renews automatically.

4.2 Operator’s Right to Terminate or Suspend

Operator may immediately suspend or terminate Vendor without notice for:

  • Policy violations
  • Counterfeit or illegal products
  • Poor product quality
  • Excessive customer complaints
  • Fraudulent or misleading behavior
  • Failure to provide required documents
  • Shipping delays/non-fulfillment
  • Chargeback spikes
  • Damage to platform reputation

4.3 Vendor’s Right to Terminate

Vendor may terminate at any time by written notice.

4.4 Post-Termination

  • Listings removed immediately
  • Outstanding funds paid per payout schedule
  • Vendor remains liable for disputes tied to previous sales

5. VENDOR OBLIGATIONS

Vendor must:

  1. Maintain all required business licenses, permits, certifications, and insurance
  2. Sell only legal, safe, authentic, and properly documented products
  3. Comply with Turkish, U.S., and international trade regulations
  4. Maintain accurate inventory, pricing, and product descriptions
  5. Provide timely customer service responses within 24 hours
  6. Ship orders within listed handling time
  7. Submit any requested documentation to Operator within 48 hours
  8. Avoid deceptive practices, false claims, or manipulation of platform systems

6. PRODUCT VERIFICATION & AUDITS

6.1 Documentation Requirements

Upon request, Vendor must provide:

  • Business registration documents
  • Government-issued identification
  • Insurance documentation
  • Manufacturer or supplier invoices
  • Product authenticity certificates or test reports
  • Safety certifications (CE, ISO, etc.)

6.2 Failure to Provide Documents

Failure to provide documents within 48 hours may result in:

  • Immediate suspension
  • Removal of all listings
  • Permanent account closure

6.3 Random Audits

Operator may conduct:

  • Product verification audits
  • Inventory checks
  • Brand/IP authenticity analysis
  • Compliance and safety audits
  • Financial and transactional reviews

Vendor must fully cooperate.

7. PAYMENTS, WITHHOLDINGS & CHARGEBACKS

7.1 Payment Flow

  • Customer pays Operator
  • Operator deducts commission
  • Operator pays Vendor the remaining balance

7.2 Payment Holds

Operator may withhold payouts for up to 90 days for:

  • Fraud investigations
  • High return or complaint rates
  • Regulatory or legal review
  • Incomplete verification
  • Chargeback exposure

7.3 Vendor Liability for Chargebacks

Vendor is responsible for:

  • Chargeback amounts
  • Associated bank/processor fees
  • Refunds resulting from Vendor errors or misconduct

Operator may deduct such amounts from future payouts.

8. SHIPPING, RETURNS & CUSTOMER SERVICE

Vendor must:

  • Ship all orders on time
  • Provide valid tracking information
  • Accept returns where applicable
  • Handle customer complaints professionally
  • Respond to customer inquiries within 24 hours

If Vendor and customer cannot resolve a dispute, Operator’s final decision is binding.

9. PROHIBITED CONDUCT

Vendor is strictly prohibited from:

❌ Selling counterfeit or illegal products
❌ Listing items without inventory
❌ Providing false documentation
❌ Manipulating reviews or ratings
❌ Price gouging
❌ Encouraging off-platform payments
❌ Copying other vendors’ listings, images, or branding
❌ Misrepresenting product origin or quality
❌ Using copyrighted materials without authorization

Violations may lead to immediate termination, penalties, and legal action.

10. PENALTIES

The Operator may impose:

10.1 Financial Penalties

  • $500 per violation for inaccurate product information
  • $1,000 per counterfeit or illegal item listing
  • $2,500 for failure to provide required documentation
  • Recovery of all costs from refunds or customer disputes
  • Full legal damages for brand/IP violations

10.2 Operational Penalties

  • Temporary suspensions (3–30 days)
  • Permanent bans
  • Listing removals
  • Search-ranking demotion

10.3 Legal Penalties

Issues involving counterfeit or fraud may be reported to:

  • Customs authorities
  • Manufacturers/brand owners
  • Government regulators
  • Law enforcement

11. LIABILITY SHIELD (RENEWABLE ENERGY SOLUTIONS, INC.)

Vendor acknowledges:

  • Renewable Energy Solutions, Inc. is only the owner of the domain MadeInTurkey.Com
  • Renewable does not operate, manage, or participate in marketplace activities

Vendor agrees:

Vendor may not file claims, legal actions, disputes, or demands against Renewable Energy Solutions, Inc. for any matter relating to:

  • Marketplace operations
  • Vendor sales
  • Payments or chargebacks
  • Product issues
  • Customer interactions
  • Account actions (suspensions, bans, audits)

This clause provides a full liability shield for Renewable Energy Solutions, Inc.

12. OPERATOR LIABILITY LIMITATIONS

Dotcom Marketing LLC is not liable for:

  • Vendor’s products or product safety
  • Damages, injuries, or losses caused by Vendor products
  • Lost profits, business interruptions, or indirect damages
  • Customs seizures or regulatory actions
  • Technical errors, downtime, or service interruptions

Vendor is solely responsible for all legal compliance.

13. INDEMNIFICATION

Vendor agrees to indemnify and hold harmless:

  • Dotcom Marketing LLC
  • MadeInTurkey.Com
  • Renewable Energy Solutions, Inc.
  • Their owners, employees, and affiliates

against all claims, including:

  • Customer injury or product liability
  • Intellectual property violations
  • Fraud or misconduct
  • Customs or regulatory penalties
  • Legal costs and attorney fees
  • Government actions

Vendor’s obligation survives termination.

14. INTELLECTUAL PROPERTY RIGHTS

Vendor grants Operator a non-exclusive right to use Vendor’s:

  • Product images
  • Trademarks
  • Descriptions
  • Logos

for marketing and platform display purposes.

15. DISPUTE RESOLUTION

15.1 Internal Resolution First

Vendor must attempt resolution through the Operator’s support team.

15.2 Mandatory Arbitration

All disputes shall be handled exclusively through binding arbitration in Florida, USA.

15.3 No Class Actions

Vendor waives any right to:

  • Class action lawsuits
  • Collective claims
  • Filing court actions (except enforcing arbitration results)

16. GOVERNING LAW

This Agreement is governed by the laws of the State of Florida, USA.

17. AMENDMENTS

Operator may update this Agreement at any time. Vendor’s continued use constitutes acceptance.

18. ACCEPTANCE

By creating a Vendor account, Vendor certifies that:

  • They have read and understand all terms
  • They agree to be bound by this Agreement
  • They are legally authorized to represent their business
